Please read these Terms of Use carefully before using https://represocial.com. These Terms will affect your legal rights and obligations. You must read and accept the following important Terms before creating or participating in a giveaway or raffle (or "campaign"), using our website, application or services, as they constitute a legally binding agreement between you and us.  If you do not agree with the Terms of Use, do not use https://represocial.com/ or our products or services.

These Terms of Use (or “Terms”) govern your use of Represocial, except where we expressly state that separate terms (and not these) apply, and provide information about the Represocial Service (the “Service”, "Site", "Represocial"), outlined below. The date when these Terms were last updated is indicated at the beginning of these Terms.

1. General Conditions and Terms

REPRESOCIAL DOES NOT SPONSOR, ADMINISTER OR ENDORSE THE CONTENT OF CAMPAIGNS DISTRIBUTED THROUGH THE SITE UNLESS OTHERWISE STATED AND IS THEREFORE NOT LIABLE.

We reserve the right to reclaim usernames on behalf of businesses or individuals that hold legal claim or trademark on those usernames.

‎We reserve the right to modify or terminate the Service for any reason, without notice at any time.

We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.

We reserve the right to refuse service to anyone for any reason at any time.

‎‎‎

We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use.

You must be 13 years or older to use the Service.

You are responsible for any activity that occurs under your username.

You may not use the Service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.

You are solely responsible for any data, text, information, username, form, campaign, photos, profiles, links ("Content") that you submit, post, and display on the Service.

You understand and agree that the Service cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the Service at your own risk.

2. Permissions and Rights

Content permissions

Permission to use content you create and share: You own the content you create and share on Represocial and nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want. To provide our services, though, we need you to give us some legal permissions to use that content.

Specifically, when you share, post, or upload content that is covered by intellectual property rights (like photos or videos) on or in connection with our Products, you grant us a non-exclusive, transferable, sub-licensable, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, delete, translate, and create derivative works of your content. This license is only for the purpose of making our Products available to you. This means, for example, that if you share a photo on Represocial, you give us permission to store, copy, and share it with others (again, consistent with your settings) such as service providers that support our service.

You can end this license any time by deleting your content or account. You should know that, for technical reasons, content you delete may persist for a limited period of time in backup copies (though it will not be visible to other users). In addition, content you delete may continue to appear if you have shared it with others and they have not deleted it.

‎You represent and warrant that: you own the Content posted by you on or through Represocial or otherwise have the right to grant the license set forth in this section, the posting and use of your Content on or through Represocial does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights or any other rights of any person, and the posting of your Content on the Site does not result in a breach of contract between you and a third party. You agree to pay for all royalties, fees, and any other monies owing any person by reason of Content you post on Represocial.

You understand that all User Content, whether publicly posted or privately transmitted when posting, sharing, displaying, sending or submitting material using the Platform, is the sole responsibility of the person from whom it originated. This means that you, and not Represocial, are entirely responsible: (for all User Content that you upload, post, email, transmit, or otherwise make available via the Platform or Services; and for ensuring that all User Content is accurate, lawful, and does not include misleading information or infringe or violate anyone’s rights. Represocial does not control the User Content posted via the Platform or Services and, therefore, does not guarantee the accuracy, integrity, or quality of any User Content. You therefore agree that you will not hold Represocial responsible or liable for any inaccuracies or for any errors or omissions in any User Content, or for any loss, injury or damages of any kind incurred as a result of the use of or reliance upon any User Content posted, emailed, transmitted, or otherwise made available via the Platform or Services.

You acknowledge that Represocial does not pre-screen, monitor, or modify User Content, but that Represocial has the right (but not the obligation) to refuse, remove, modify, or delete any User Content that is available via the Platform or Services that violates these Terms, or is otherwise objectionable, in our discretion. You acknowledge and expressly consent to Represocial, accessing, preserving, and disclosing your Account information and User Content if required to do so by law or if in good faith Represocial believes that such access, preservation or disclosure is reasonably necessary to: comply with legal process;  enforce these Terms; respond to claims that any User Content violates the rights of third-parties; respond to your requests for customer service; or protect the rights, property, or personal safety or security of Represocial, or our affiliates, staff, users, or the public.

From time to time we may link to other websites or provide third-party content on our Platform solely as a convenience to you. Additionally, our Platform or content may be available through third party providers. We do not control such third parties. When accessing the Platform through a third party, your use of the Platform may also be subject to the terms and conditions, and privacy policy, of such third party. We do not warrant, endorse, guarantee, provide any conditions, warranties, or representations, or assume any responsibility or liability for any information, content, product, or service advertised, offered, made available, or performed by any third party unless we expressly say so and we will not be a party to any transaction that you may enter into with any such third party.

Permission to display ads

Represocial is supported by advertising revenue and may display advertisements and promotions, and you hereby agree that Represocial may place such advertising and promotions on Represocial in conjunction with your Content. The manner, mode and extent of such advertising and promotions are subject to change without specific notice to you.

Content rights and terminating your account

‎‎We can remove any content or information you share on the Service if we believe that it violates these Terms of Use, our policies or we are required to do so by law. We can refuse to provide or stop providing all or part of the Service to you immediately to protect our community or services, or if you create risk or legal exposure for us, violate these Terms of Use or our policies, if you repeatedly infringe other people’s intellectual property rights, or where we are required to do so by law. We can also terminate or change the Service, remove or block content or information shared on our Service, or stop providing all or part of the Service if we determine that doing so is reasonably necessary to avoid or mitigate adverse legal or regulatory impacts on us.

‎3. Participation Conditions

You are prohibited from creating or participating in a campaign if you reside in the Canadian Province of Quebec or Puerto Rico, Guam, the U.S. Virgin Islands or other U.S. territories, or any other jurisdiction where participation in or operation of campaigns, promotional prize draws, or promotional contests is unlawful.

You are prohibited from participating in a campaign if you are under the age of thirteen (13). If you are under the age of majority in your jurisdiction but are thirteen or older, you may not participate in a campaign unless you have received parental or legal guardian consent and in no event may you create or sponsor a campaign.

You acknowledge and agree that depending on your age, you may not be eligible to participate in certain campaigns. Represocial reserves the right to set age restrictions and ban or disqualify any person from any campaign if either the campaign organizer or Represocial believe, in either of their sole and arbitrary discretion, that such person has not met the age threshold restriction for such campaigns. Violation of age restrictions may result in suspension or deletion of your Account.  

You are responsible for ensuring that your participation in or operation of a campaign (whether as an entrant, a Campaign organizer, or otherwise) is compliant with all applicable laws, regulations, by-laws, rules, and orders, including, without limitation, any prize notification requirements.

You agree that it is your responsibility to comply with all applicable terms of services, terms of use, rules, guidelines, or other contractual obligations when promoting a campaign on any third party website, social network, or other platform (“Third Party Rules”). For example, when promoting a campaign on Twitch.tv, you must comply with section 8(d) of Twitch.tv’s Terms of Service, which, among other things, requires that you display or read out loud the following statement when a campaign is on your Twitch.tv channel:

By entering any campaigns, you agree with the campaign Rules for such campaigns. Your participation in a campaign is subject to the applicable campaign rules.

If you are a campaign organizer of a cancelled campaign, you agree to defend, indemnify, and hold harmless Represocial and its Representatives from and against any and all claims, proceedings, suits, disputes, demands, threats, actions, obligations, liabilities, costs (including legal and accounting fees), damages, losses, penalties, fees, expenses, and injuries arising or resulting from the cancelled campaign or any demand or claim for a refund of Donations related to your cancelled campaign.

If these Terms are inconsistent with or conflict with the campaign Rules, the campaign Rules prevail.

You agree that the campaign organizer is solely responsible for ensuring that their campaign is compliant with all applicable laws, regulations, by-laws, rules, and orders in the jurisdictions in which the campaign is being made available. For example, certain US states require that campaign organizers register campaigns in advance, post a form of financial security for offered prizes, and certify winners to the state. You agree that Represocial, TikTok LLC, Twitch Interactive, Inc., YouTube LLC, Microsoft Corporation, Facebook, Inc., and Twitter, Inc. are not responsible or liable for any legal non-compliance by campaign organizers, except where such entity is the campaign organizer.

4. Use of Represocial

‎You agree that your use of this Platform and materials on this Platform will be for lawful purposes only and in a manner consistent with local, national or international laws and regulations. Some jurisdictions may have restrictions on the use of the Internet or participation in campaigns by their residents.

‎You shall bear full responsibility for the information transmitted or submitted by you or any of your authorized users through this website or service. You expressly agree that your use of the service and the content of your account will not be to:

organize campaigns without a real intention to give away prizes or to give people the opportunity to buy a product (in case of raffles); attempt to automate entries with the intent of defrauding a campaign; ignore winners determined on Represocial by selecting external winners; disrupt the Service or other user’s use of the Service; encourage users to break the TOS of an external site (i.e. clicking Adsense ads, Affiliate links) or encourage any other bad behavior; run a campaign promoting illegal things; create false contestants to award yourself as the winner of your campaign; impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; create multiple accounts after your account has been disabled; to try to create fake entries with the purpose of interrupting a campaign; to interrupt our services; use automation to participate in a campaign and artificially increase the chance of winning; create fraudlent campaigns;

Any breach of any of the TOS may result in further consequences, such as a permanent account/ip ban.

You acknowledge and agree that the campaign organizer is the campaign organizer of the campaigns created by that campaign organizer. Among other things, this means that the campaign organizer is solely responsible and liable for: administration of the campaign; delivery of the Prize to the Winner; and any shipping and handling expenses related to the delivery of the Prize.

5. Ownership of the services provided to you

‎The underlying platforms of the Services are either the proprietary property of Represocial or the proprietary property of our licensors or licensees. By subscribing to our Services, Represocial grants you a personal, revocable, non-assignable, and non-exclusive license to use the Services for the term of the subscription in accordance with the Terms, unless terminated earlier.

Please note that Represocial facilitates companies running competitions which as a user you can enter. As an entrant you acknowledge that "Competition Owner" is fully responsible for ensuring that their competition complies with all applicable rules & regulations in the countries for which it is operating. Represocial is not responsible for; or liable for the failure of any Competition Owner to comply with these rules.

"Campaign Owners" must also be responsible for ensuring that their competition fully complies with all rules & regulations of any social network or Third Party on which is it run. Represocial will not be held responsible for the loss of any data or accounts due to actions from Third Parties that relate to activity that is against their guidelines.

You acknowledge and agree that Represocial is not responsible or liable for Competition Owners use or distribution of information you provide. Please see each Competition Owners promotion rules, terms and privacy policy for details on how they use your personal information.

As Represocial can be used on any website in any country, by using Represocial you acknowledge that you are responsible for compliance with any local laws.

AS ALREADY MENTIONED BEFORE, REPRESOCIAL DOES NOT SPONSOR, ADMINISTER OR ENDORSE THE CONTENT OF ANY PROMOTION OR CAMPAIGNS DISTRIBUTED THROUGH THE SITE UNLESS OTHERWISE STATED AND IS THEREFORE NOT LIABLE.

Represocial may require you to provide personally identifiable information in order to participate in certain promotions. In the event that you choose to provide personally identifiable information, you acknowledge and agree that Represocial may use any information you provide consistent with Represocial and these Terms of Service.

6. No warranties

YOU ACKNOWLEDGE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, WEBSITES AND OTHER MATERIALS PROVIDED TO YOU UNDER THIS AGREEMENT ARE PROVIDED "AS IS". THE RISK OF USING THE SERVICE AND RELYING ON THE CONTENT OF THE WEBSITE IS AT YOUR OWN RISK. REPRESOCIAL DOES NOT PROVIDE ANY AND ALL EXPRESS OR IMPLIED WARRANTIES RELATED TO THE SERVICE, WEBSITE, ITS CONTENT AND OTHER MATERIALS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES THAT DO NOT INFRINGE THIRD PARTIES, COPYRIGHTS, AND COMMERCIAL INTERESTS. WE DO NOT GUARANTEE THAT THIS WEBSITE OR THE SERVICES PROVIDED ARE ERROR-FREE, ACCESS WILL NOT BE INTERRUPTED, DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR SERVER THAT MAKES OUR SERVICE AVAILABLE OR FREELY AVAILABLE IS OR WILL USE OTHER HARMFUL INGREDIENTS FOR FREE.

7. Liabilities and Indemnities

You should compensate Represocial and its directors, officers, employees, representatives and agents to protect them from Represocial and/or any of its affiliates arising from or related to your violation of these terms or your use of the service.

REPRESOIAL IS NOT RESPONSIBLE FOR ANY FORM OF DAMAGE, INCLUDING BUT NOT LIMITED TO COMPENSATORY, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR SIMILAR DAMAGES. THESE DAMAGES MAY BE CAUSED BY THE USE OR INABILITY TO USE THE SERVICES OF THIS WEBSITE. REPRESOCIAL OR ANY THIRD PARTY PROVIDE OR OTHERWISE PROVIDE.

THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE TERMS OF USE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8. Other

‎‎

Although Represocial is normally available, there will be occasions when the Site will be interrupted for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and equipment that are beyond the control of Represocial. Also, although Represocial will normally only delete Content that violates this Agreement, Represocial reserves the right to delete any Content for any reason, without prior notice. Deleted content may be stored by Represocial in order to comply with certain legal obligations and is not retrievable without a valid court order. Consequently, Represocial encourages you to maintain your own backup of your Content. In other words, Rep is not a backup service. Represocial will not be liable to you for any modification, suspension, or discontinuation of Represocial, or the loss of any Content.

We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. We will only make changes if the provisions are not appropriate anymore or if they are incomplete, and only if the changes are reasonable for you in consideration to your interests. Unless otherwise required by law, we will notify you of the changes and choices you have (for example, through our Service) at least 30 days before we update the Terms, and we will give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account here.
